By joining the Tabby Affiliate Program (“Program”), you agree to comply with and be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you may not participate in the Program.

1. Enrollment

• To join, you must submit an application via Tabby’s affiliate signup form.
• We reserve the right to approve or reject any application at our sole discretion.

2. Affiliate Responsibilities

• You agree to promote Tabby in a legal, ethical, and honest manner.
• You may use only approved marketing materials unless you have written permission to modify them.
• You must not:
  • Make false or misleading claims about Tabby.
  • Engage in spam, unsolicited emails, or misleading advertising.
  • Use “Tabby” or similar trademarks in your domain names without approval.
• You are responsible for compliance with FTC, CAN-SPAM, GDPR, and other applicable marketing laws.

3. Commission Structure

Tracking Window:

• All referrals are tracked for 12 months from the date of the first click.
• If a free plan user upgrades to a paid plan within that 12-month window, you will still earn commissions.

Commission & Bonuses:

• Free Plan Bonus: $5 one-time payment for each free plan user who connects at least one bank account with transactions.
• Monthly Plans: 25% recurring commission for the first 3 months of the customer’s subscription (paid as they pay).
• Annual Plans: 15% one-time commission when the customer pays for an annual plan.
• Special Campaigns: From time to time, Tabby may offer higher commissions for limited promotional periods.

No Commission Paid On:

• Your own purchases.
• Canceled, refunded, or fraudulent transactions.

4. Commissions & Payments

• Commissions are calculated monthly and paid within 15 days after month-end.
• Minimum payout threshold: $5.
• All payments are made via PayPal to the email provided in your affiliate account.
• Clawbacks: If a customer requests a refund at any time, any previously paid commission for that sale will be reversed.

5. Tracking & Attribution

• Tracking is via cookies with a 12-month duration.
• If multiple affiliates refer to the same customer, the last referring affiliate gets credit.

6. Brand Asset Usage

• You may use Tabby’s name, logo, and approved graphics solely for promoting Tabby.
• You may not alter logos, create misleading variations, or suggest you own the Tabby brand.

7. Prohibited Activities

You may not:

• Bid on “Tabby” or related brand keywords in paid search without approval.
• Misrepresent your relationship with Tabby (you are an independent affiliate).
• Offer unauthorized rebates, coupons, or incentives.
• Use fake landing pages, redirects, or impersonation.

8. Confidentiality

Any non-public information provided by Tabby must remain confidential.

9. Taxes

You are responsible for reporting and paying all taxes on your affiliate earnings. Tabby will issue IRS Form 1099-NEC to U.S. affiliates earning $600 or more annually.

10. Termination

• We may terminate your participation at any time, with or without cause.
• If terminated for violating these Terms, unpaid commissions will be forfeited.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, USA.
